New Client Intake Form

Release of liability and assumption of risk for consulting services

1. Identification of parties

  • This Release of Liability and Assumption of Risk ("Release") is made and entered into as of the date of the last signature below (the "Effective Date").

  • Consultant: Olympia HR Guy, LLC., with an address at 2920 24th Avenue SE, Olympia, WA 98501 ("Consultant").

  • Client: [Client Name identified above], with an address at [Address identified above] ("Client").

2. Services provided

  • This Release applies to the consulting services provided by the Consultant to the Client pursuant to the agreement dated [Date of Agreement] (the "Agreement"), including any recommendations, advice, analysis, or strategies provided (the "Services").

3. Acknowledgment and assumption of risk

  • The Client acknowledges and understands that all professional services, including the Services provided by the Consultant, carry inherent risks and uncertainties. These risks include, but are not limited to, the possibility of:

    • Failing to achieve desired results.

    • Financial losses resulting from business decisions made based on the Services.

    • Changes in regulations or market conditions that impact the outcome of the Services.

    • Data breaches or cybersecurity incidents, as consultants often handle sensitive information.

  • The Client voluntarily and knowingly assumes all risks, hazards, and dangers associated with receiving and acting upon the Services. The Client understands that the Consultant does not guarantee any particular outcome or result.

4. Release of liability

  • The Client releases the Consultant and its representatives ("Released Parties") from any liabilities, claims, or damages, including those for negligence, related to the Services. This release covers claims for personal injury, property damage, and economic loss, unless the liabilities result from the Consultant's gross negligence or willful misconduct.

5. Indemnification and hold harmless

  • The Client agrees to protect the Released Parties from losses, damages, and expenses, including attorney fees, arising from third-party claims due to the Client's use or reliance on the Services. This does not apply if the claim is due to the Consultant's gross negligence or willful misconduct.

6. No guarantees

  • The Client understands that the Consultant provides services "as is" and does not offer any guarantees or warranties, express or implied, about the outcome of the Services.

7. Voluntary signature

  • By signing, the Client confirms they have read and understand this Release, including that they are giving up significant legal rights, and are signing freely.

8. Governing law

  • This Release is governed by the laws of the State of Washington.

9. Entire agreement

  • This Release is the complete agreement between the parties concerning the subject matter.
